The Role
You should be expected to draft M&A transaction documents for sophisticated public and private clients, along with acquisition agreements and ancillary documentation. Assist clients with corporate establishment, registration, transformation, governance, and liquidation.
Requirements
Candidates must have 3 years experience drafting corporate legal documentation to support stock and asset purchase agreements, merger agreements, credit facilities agreements, licenses and lease agreements, or other transactional and ancillary agreements in relation with acquisitions, sales, mergers, or SPAC transactions (both IPOs and mergers). You must also have the following: 2 years of professional experience at an international law firm working on mergers and acquisitions, joint ventures, private equity investments, or project financing transactions in the United States and abroad; 2 years of professional experience drafting U.S. Securities and Exchange Commission ("SEC") reports and M&A transaction documents; 2 years of professional experience negotiating and drafting documentation in connection with commercial financing transactions including for Chapter 11 motions and out-of-court restructurings, for private and public companies.
