The Role
The capital markets lawyers perform a wide range of complex corporate transactions, including mergers and acquisitions, hostile and friendly tender offers, going private transactions, the conversion of mutual insurance companies, the formation of downstream holding companies for insurance companies, financial services securities matters, bank holding company matters and the conversion of savings and loan associations. The lawyers apply their knowledge of securities laws and financing trends to assist clients in consummating these often difficult transactions in an innovative, cost-effective and timely manner. The firm counsels clients in structuring, negotiating and consummating acquisition, sale and change of control transactions, both friendly and unfriendly. The firm often handles these transactions when they involve companies in regulated industries, such as banking and insurance.
Requirements
The firm is looking for an associate with 2-3 years of experience with strong capital markets and corporate transactional background. It is essential that the candidate has amassed a thorough knowledge of Securities Act, Securities Exchange Act, preparation and filing of periodic reports, and public and private securities offerings. Experience with IPOs and alternatives thereto including Regulation A+ offerings, private investment in public equity (PIPE) transactions and at the market (ATM) offerings is preferred.
