The Role

Public and private companies around the world turn to this firm's Mergers & Acquisitions Practice for guidance on a wide range of strategic transactions, from multibillion-dollar hostile public takeovers to private middle-market acquisitions. The team of over 550 corporate attorneys has represented a range of major corporations, private equity and venture capital firms, investment banks, lenders, senior management, and shareholders in industry-leading transactions. The firm's Private Equity Practice has wide-ranging experience representing private equity firms in complex domestic and cross-border transactions in a variety of industries, including consumer products, aerospace, manufacturing, food and beverage, health care, financial services, distribution, and technology. They work regularly with regional, national, and global private equity firms advising them in connection with acquisitions, dispositions, financing transactions, and fund formation. The focus is on serving all aspects of private equity firm legal needs, from purchase and sale transactions, as well as more broadly on portfolio company support, finance matters, fund formation, ongoing fund operation, tax analysis, and business reorganization and restructuring transactions.

Requirements

The ideal candidate will have 5+ years of significant experience in corporate transactions with an emphasis on private M&A and private company financings, including private equity, venture capital and general corporate governance. Experience with M&A in regulated industries is a plus. Candidates must have a strong working knowledge of acquisition agreements and the other documentation used in complex M&A and private equity transactions and proficiency in drafting the same. Well-versed in the mechanics of leading an M&A transaction from inception to closing; experience leading due diligence teams; general corporate and corporate governance experience; ability to work effectively as part of a team across practice areas and a willingness to train junior associates.
